This Agreement is entered into between you and Yutram Legal, LLC, a Minnesota limited liability company (“Yutram Legal”), and the company or individual engaging the services of Yutram Legal (the “Client”) (individually, a “Party” and collectively, the “Parties”). By using the services of Yutram Legal, the Client agrees to these Terms of Agreement.
In consideration of the mutual terms and conditions set forth herein, the Parties agree as follows:
This Agreement shall be governed in all respects by the laws of the State of Minnesota. The Parties consent to the exclusive jurisdiction of the federal and state courts located in Washington County, Minnesota, for any dispute arising out of or relating to this Agreement.
This Agreement, together with its appendices, constitutes the entire agreement between the Parties regarding the subject matter hereof and supersedes all prior or contemporaneous agreements relating to such subject matter, whether written or oral. In the event of a conflict between this Agreement and any other agreement, the provisions of this Agreement shall prevail.
To the fullest extent permitted by law:
(a) Yutram Legal shall under no circumstances be held liable to the Client—regardless of the legal theory invoked—for the loss of a claim or cause of action, nor for any special, indirect, consequential, exemplary, or incidental damages, regardless of the cause, arising out of or relating to this Agreement, even if Yutram Legal has been advised of the possibility of such damages;
(b) Yutram Legal shall under no circumstances be held liable—including, without limitation, for the loss of a claim—for any action taken or not taken regarding an order for which the limitation period expires within one month of its receipt by Yutram Legal; and
(c) In no event shall the aggregate liability arising out of or relating to this Agreement (regardless of the nature of the action giving rise to such liability, whether contractual, tortious, or otherwise) exceed the fees actually paid by the Client to Yutram Legal during the preceding three months. No claim relating to security breaches or data violations shall exceed the limits of Yutram Legal’s applicable insurance policies.
Yutram Legal shall handle all personally identifiable or confidential information provided by the Client with the same level of protection applied to its own confidential information and, in any event, in accordance with industry standards. Any individual interacting with the Client’s data shall be required to sign a confidentiality agreement prior to any disclosure of information. Yutram Legal shall conduct appropriate background checks on its employees and subcontractors, in accordance with its policies.
In the event of a breach of the Client’s data, the Client shall be notified as soon as possible and, at the latest, within 24 hours following the confirmation of said breach.
Clients who have obtained professional status (“Professional Clients”) must provide a valid credit card registered with Yutram Legal. They authorize Yutram Legal to charge this card for the settlement of weekly invoices; such charges will be processed immediately upon the issuance of the invoice. Any Client failing to comply with this obligation may have their professional status revoked.
Yutram Legal will perform the services offered to the Client on its website, including—without limitation—service of process, skip tracing, document filing, and any other task ordered via its website (the “Services”).
Clients who have not obtained professional status must pay the prices displayed at the time the order is placed. If credit is extended to the Client by Yutram Legal—at the latter’s sole discretion—the Client agrees to pay Yutram Legal the prices displayed at the time of the order, in accordance with the proposed credit terms.
Any payment due to Yutram Legal that is not made by its due date shall incur late interest at a rate of 1.5% per month, or at the maximum statutory rate if the latter is lower. If Yutram Legal deems it necessary to initiate legal proceedings, the Client shall bear all reasonable collection costs, including attorneys’ fees.
The Client shall be granted reasonable access to Yutram Legal’s facilities, networks, and monitoring services to facilitate the assessment of compliance with the Client’s internal policies.
If any provision of this Agreement is held to be illegal, invalid, or unenforceable, such provision shall be deemed modified so as to produce an economic effect as close as possible to that of the original provision, without affecting the remaining provisions of the Agreement.
If a Party waives any clause, provision, or breach of this Agreement, such waiver shall be valid only if it is made in writing. No waiver by a Party of any breach of this Agreement shall constitute a waiver of any other breach—whether prior or subsequent—committed by the other Party.
This Agreement may be modified only by the mutual written agreement of the Parties.
If either Party cancels an order prior to its completion, it shall be entitled to payment for the work performed up to the date of cancellation. No refunds shall be granted for an order after its first day of execution.
